Terms of Service

1. Description of the Service

HealUDoc provides software modules covering EHR, OPD/IPD, laboratory, radiology, pharmacy, blood bank, operation theatre, billing and finance, workforce management, and analytics. HealUDoc is a software platform only; it is not a healthcare provider and does not practice medicine, provide medical advice, or make clinical decisions.

2. Accounts and authorized users

Customers are responsible for creating and managing accounts for their authorized staff, assigning appropriate roles and permissions, and ensuring credentials are kept confidential. Customers must promptly notify HealUDoc of any unauthorized access or use of an account.

3. Subscriptions and payment

Access to the Service is provided under a subscription plan agreed with each Customer, priced according to modules, bed count, branches, and support level as described on our Pricing page or a separate order form. Fees are invoiced as agreed with the Customer and are non-refundable except as required by law or expressly stated in a signed agreement.

4. Customer data and responsibilities

Customers retain all rights to data they input into the Service, including patient health information ("Customer Data"). As between HealUDoc and the Customer, the Customer is solely responsible for:

• Ensuring it has the legal right to collect and process Customer Data, including patient consent where required
• Compliance with healthcare data protection, medical recordkeeping, and other laws applicable in its jurisdiction
• Accuracy of clinical, billing, and administrative information entered into the Service
• Configuring user roles and access appropriately for its organization

HealUDoc processes Customer Data only to provide and support the Service and in accordance with our Privacy Policy and applicable data processing terms.

5. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose or in violation of applicable healthcare regulations
• Attempt to gain unauthorized access to other Customers' data or accounts
• Reverse engineer, decompile, or attempt to extract source code from the Service, except as permitted by law
• Interfere with or disrupt the integrity or performance of the Service
• Resell or provide the Service to third parties without authorization

6. Intellectual property

HealUDoc and its licensors retain all rights, title, and interest in and to the Service, including software, design, and documentation. These Terms do not grant Customers any rights to HealUDoc's trademarks or branding except as necessary to use the Service as intended.

7. Confidentiality

Each party agrees to protect the other's confidential information with the same degree of care it uses for its own confidential information of similar nature, and not to disclose it except as necessary to perform under these Terms or as required by law.

8. Service availability and support

We aim to provide reliable access to the Service and will communicate planned maintenance where reasonably possible. Support levels and response targets may vary by plan, as described in your order form or a separate support policy.

9. Disclaimers and limitation of liability

The Service is provided "as is" without warranties of any kind, express or implied, except as expressly stated in a signed agreement. HealUDoc is not liable for clinical outcomes resulting from decisions made by Customer staff using the Service. To the maximum extent permitted by law, HealUDoc's aggregate liability arising from these Terms will not exceed the fees paid by the Customer in the twelve months preceding the claim.

10. Termination

Either party may terminate the Service as set out in the applicable order form or agreement. Upon termination, we will make Customer Data available for export for a reasonable period and will delete it thereafter in accordance with our data retention practices, unless a longer period is required by law.

11. Governing law

These Terms are governed by the laws specified in your signed order form or agreement with HealUDoc. Where no such agreement exists, these Terms are governed by generally applicable law without regard to conflict-of-law principles.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected by an updated "Last updated" date, and where required, we will provide additional notice to active Customers.
